	Thank you for your interest in the Trade Pros 4-step Quoting System. The cost of this service is U.S. $120 (One Hundred and Twenty United States Dollars) per annum. Your subscription will begin activated soon as we receive your application and payment. Your service will expire twelve (12) months from the end of subscription. Payment Methods: PayPal (Visa, MasterCard, American Express) A check drawn in U.S. dollars and payable at the counters of a bank in the United States. All subscribers must accept our Service Agreement. Service Agreement THIS SERVICE AGREEMENT (hereinafter referred to as the “Agreement”), DATED AND EFFECTIVE: The date that the Service User agrees to the terms of this Agreement by indicating “I Accept” and/or “I Agree”. By and between: SERVICE USER: The individual that indicates “I Accept” or “I Agree” to the terms of this Agreement. SERVICE PROVIDER: Finance Specialists Group, LLC (doing business as: “Trade Pros”) 2410 Chastain Drive, NE Atlanta, GA 30342 USA Phone/Fax: 404.370.1911 E-Mail: tradepro@tradepros.net 1. INTRODUCTION: In this Agreement, “you” and “your” refers to each SERVICE USER, and “Trade Pros”, “we”, “us” and “our” refer collectively to the SERVICE PROVIDER, Finance Specialists Group, LLC and its subsidiaries, affiliates, directors, officers, employees, agents and contractors. This agreement explains our obligation to you and your obligations to us in relation to the Trade Pros 4-Step Quoting System Service (“the Service”) you are purchasing. By purchasing the Service you agree to establish an account with us. When you use the Service, this agreement as amended covers the use of the Service. Any acceptance of your application or request for the Service and the performance of the Service will occur at our offices in Atlanta, GA, USA, our principal place of business. 2. PROHIBITED TRANSACTIONS: You agree you will not use the Service to sell, export or import: A) Any illegal products or services, B) Any products or services having a U.S. Contract Value of more than U.S. Dollars Ten Million (US$10,000,000) C) Any military or duel-use military products or services as defined by the Export-Import Bank of the United States as being ineligible for their programs (see their Web site for details:www.exim.gov) 3. THE SERVICE: This agreement covers your use of the Trade Pros 4-Step Quoting System as provided on our Web site: www.tradepros.net. The Service permits you to input information and print the results of this input. It also permits you to print or download the Users Manual and the Sample Transaction Term Sheet provided as part of the Service. 4. ACCOUNT ACCESS: To access or use the Service, you will be required to establish an account, and obtain a login name and password from us. You are solely responsible for maintaining the confidentiality of your login name and password. You must immediately notify us of any unauthorized use of your login name and password, and you are responsible for any unauthorized use, activities, printouts, and/or liabilities made on or through use of your account and your login name and password. In no event will we be liable for the unauthorized use or misuse of your account, login name or password. 5. FEES, PAYMENT AND TERM OF SERVICE: As consideration for the Service you are purchasing, you agree to pay Trade Pros the applicable service fee set forth at the time of your selection of our service as evidenced by your clicking “I Agree” or “I Accept” on-line. All fees are due immediately and are non-refundable. Payment may be made through PayPal®, an on-line payment system (www.paypal.com); or for those who cannot use PayPal® for any reason whatsoever, payment can be made by check drawn in U.S. dollars and payable at the counters of a bank in the United States and mailed to Trade Pros at the address listed in Service Provider. You are solely responsible for the credit and payment information you provide to Trade Pros and/or PayPal® and must promptly inform Trade Pros and PayPal® of any changes. Unless otherwise specified at time of subscription or renewal of your subscription to the Service, the Service is for a one-year initial term and renewable thereafter for successive one-year terms, as set forth during the renewal process. We will endeavor to provide you notice prior to the renewal at least thirty (30) days in advance of the renewal date. However, you are solely responsible for ensuring the Service is renewed. Trade Pros shall have no liability to you or any third party in connection with the renewal as described herein, including but not limited to any failures or errors in renewing the Service. You agree to pay all value added, sales and other taxes and any credit card fees or charges that may be levied on Trade Pros for providing the Service. 6. ACCURATE INFORMATION: You agree to: (1) provide certain true, current, complete and accurate information about yourself (see SERVICE USER section of the Agreement); and (2) maintain and update according to our modification procedures (see 17. Notices and Announcements section of the Agreement). The information you provided to us when purchasing the Service is needed to keep your account current, complete and accurate. We rely on this information to send you important information and notices regarding your account and the Service. 7. PRIVACY: Except as required by law or to comply with legal proceedings, no information on you or your account will be shared with anyone or any organization outside of Trade Pros without your express written permission. You agree that we, in our sole discretion, may modify our privacy policy. We will post such revised policy statement on our Web site at least thirty (30) days before it becomes effective. You agree that, by using the Service after modifications to the privacy policy statement, you have agreed to these modifications. You acknowledge that if you do not agree to any such modification, you may terminate this Agreement. We will not refund any fees paid by you if you terminate this Agreement. 8. OWNERSHIP: All right, title and interest in and to all, (i) registered and unregistered trademarks, service marks, and logos; (ii) patents, patent applications, and patentable ideas, inventions, and/or improvements; (iii) trade secrets, proprietary information, and know-how; (iv) all divisions, continuations, reissues, renewals and extensions thereof now existing or hereafter filed, issued, or acquired; (v) registered and unregistered copyrights including, without limitation, any forms, images, audiovisual displays, text, software, and (vi) all other intellectual property, proprietary rights or other rights related to intangible property which are used, developed, comprising, embodied in, or practiced in connection with the service identified herein (“Trade Pros Intellectual Property Rights”) are owned by Finance Specialists Group, LLC, and you agree to make no claim of interest in or ownership of any such Trade Pros Intellectual Property Rights. You acknowledge that no title to the Trade Pros Intellectual Property Rights is transferred to you, and that you do not obtain any rights, expressed or implied, in the Trade Pros service, other than the rights expressly granted in this Agreement. To the extent that you create any Derivative Work (other than printing the results of the Service or downloading/printing the Users Manual and/or the Sample Transaction Term Sheet), such as any work based upon one or more preexisting versions of a work provided to you including but not limited to an enhancement or modification, revision, translation, abridgement, condensation, expansion, collection, compilation or any other form in which such preexisting work may be recast, transformed or adapted, such Derivative Works shall be owned by Trade Pros and all right, title and interest in and to each such Derivative Work shall automatically vest in Trade Pros. Trade Pros shall have no obligation to grant you any right in any such Derivative Work. The use of “framing” where a Third Party site displays a portion of the TradePros Web site inside a Web page whose URL is not https://www.tradepros.net/ is prohibited. 9. EXCLUSIVE REMEDY: You agree that our entire liability, and your exclusive remedy, in law, in equity, or otherwise, with respect to the service provided under this Agreement and/or for any breach of this agreement is solely limited to the amount you paid for such service during the term of this agreement. In no event shall Trade Pros be liable for any indirect, incidental, special or consequential damages even if Trade Pros has been advised of the possibility of such damages. Trade Pros disclaims any and all loss or liability resulting from, but not limited to: (i) loss or inability resulting from access delays or access interruptions; (ii) loss or liability resulting from data non-delivery or data miss-delivery; (iii) loss or liability resulting from acts of god; (iv) loss or liability resulting from unauthorized use or misuse of your account number, login name or password; (v) loss or liability resulting from errors, omissions, or misstatements of any kind and all information or service provided under this agreement; (vi) loss or liability that you may incur in connection with our processing of your application for the Service including the initial annual fee or renewal; (vii) loss or liabilities relating to limitations, incompatibilities, defects or other problems inherent in the input or output (printed results) of the Service. 10. DISCLAIMER OF WARRANTIES: You agree that your use of the Service is solely at your own risk. You agree that the service is provided on an “as is” and “as available” basis. We expressly disclaim all warranties of any kind, whether express or implied, including but not limited to the implied warranties of merchantability, fitness and a particular purpose and non-infringement. Trade Pros does not make any warranties that the Service licensed hereunder will meet your requirements, or that the service will be uninterrupted, timely, secure, or error free. Trade Pros makes no warranties as to the results that may be obtained from the use of the Service, or as to the accuracy or reliability of any information obtained through the Service. You understand and agree that any material and/or data downloaded or otherwise obtained through the use of the Service is done at your own discretion and risk and that you will be solely responsible for any damage to your computer system or loss of data that results from the download of such material and/or data. We make no warranty regarding any goods or services purchased or obtained by you or through you or any transactions entered into resulting from the use of the Service. We are not responsible for and shall have no liability with respect to any products and/or services purchased by you or through your efforts from a third party. 11. INDEMNITY: You agree to release, indemnify and defend and hold harmless Trade Pros from any and all liabilities, claims, damages, costs and expenses, including reasonable attorneys’ fees and expenses, of third parties relating to or arising out of (i) a use of the Service by you, including without limitation infringement or dilution by you; (ii) someone else using the Service from your computer, (iii) someone else using your account, login name or password; (iv) any information supplied by you to Trade Pros including, without limitation, any misrepresentations on the Agreement. 12. TERMINATION: You may terminate this Agreement upon thirty (30) days written notice to Trade Pros for any reason. We may terminate this Agreement at any time in the event you breach any obligation hereunder, fail to respond within ten (10) days to any inquiry from us concerning the accuracy or completeness of any information provided by you to us, of if we determine in our sole discretion that the business purpose for your use of the service no longer meets our criteria for appropriate use. In either case, all fees are non-refundable. 13. REPRESENTATIONS AND WARRANTIES: You agree and warrant that neither your application or use of the Service nor the manner in which you intend to use the Service will directly or indirectly infringe on the legal rights of a third party, and that you have the requisite power and authority to execute this Agreement and to perform your obligations herein. 14. RIGHT OF TRANSFER: You may not transfer, assign, or allow anyone other than you to access the Service, or use your account, login name or password to access the Service. Any attempt by your creditors to obtain an interest to your rights under this Agreement, whether by attachment, levy, garnishment or otherwise, renders this Agreement voidable at our option. You agree not to resell the use of your account, login name and password and the Service without the express written permission of Trade Pros. 15. RIGHT OF REFUSAL: We, in our sole discretion, reserve the right to refuse to provide the Service based on your application and our review for appropriate use of the Service. 16. MODIFICATIONS TO AGREEMENT: You agree, during the term of this Agreement, that we may: (i) revise the terms and conditions of this Agreement; and/or (ii) change or upgrade any part of the Service provided under this agreement at any time. Any such revisions, upgrade or changes will be binding and effective within thirty (30) days after advising you by e-mail of the revised Agreement or notice of changes to the Service on our Web site. If you do not agree to any revision to the Agreement, you may terminate at any time providing us with notice. Notice of your termination will be effective on receipt and processing by us. By continuing to use the Service after notice of the effective date, you agree to abide by and be bound by any such revisions, upgrades or changes. 17. NOTICES AND ANNOUNCEMENTS: All notices to Trade Pros shall be in writing and delivered to our business mailing address on page one. All notices by Trade Pros shall be delivered by e-mail. Notices and announcements may include describing changes, upgrades, new products or services and other information pertaining to the use of the Service or site security. All communication by Trade Pros in either electronic format will be considered to be “in writing”, and to have been received no later than five (5) business days after dissemination whether or not you have received or retrieved the notice or announcement. 18. SEVERABILITY: You agree that the terms of this Agreement are severable. If any term or provision is declared invalid or unenforceable, in whole or in part, the term or provision will not affect the remainder of this Agreement. This agreement will be deemed amended to the extent necessary to make this Agreement enforceable, valid and, to the maximum extent possible consistent with applicable law, consistent with the original intentions of the parties, and the remaining terms and provisions will remain in full force and effect. 19. ENTIRE AGREEMENT: You agree that this Agreement, the rules and policies incorporated by reference in this Agreement are the entire, complete and exclusive agreement between you and us regarding the Service and supercede all prior agreements and understandings, whether written or oral, or whether established by custom, practice, policy, or precedent, with respect to the subject matter of this Agreement, including, without limitation, any purchase order provided by you for the Service. 20. GOVERNING LAW: This agreement shall be construed and regulated under and by the laws of the state of Georgia. 21. AGREEMENT TO BE BOUND: By applying for the service through an online application process or otherwise, by submitting payment information through PayPal® or otherwise, or by using the Service provided by Trade Pros under this Agreement, you acknowledge that you have read and agree to be bound by all terms and conditions of this Agreement and documents incorporated by reference. We encourage you to print the Agreement or copy it to your computer’s hard drive for your reference. 22. INDEPENDENT PARTIES: You, the SERVICE USER, and Trade Pros, the SERVICE PROVIDER, are independent parties and do not have any authority to bind the other party by contract or otherwise to any obligation. 23. WAIVER: No waiver of any provision of this Agreement shall be effective unless it is in writing and signed by Trade Pros. The remedies under this Agreement shall be cumulative and not alternative, and the election of one remedy for a breach shall not preclude pursuit of other remedies. The failure of a party, at any time or from time to time, to require performance of any obligations of the other party hereunder shall not affect its right to enforce any provision of this Agreement at a subsequent time, and the waiver of any rights arising out of any breach shall not be construed as a waiver of any rights arising out of any prior or subsequent breach. 24. EXPORT RESTRICTIONS: You acknowledge and agree that you shall not import, export, or re-export directly or indirectly any commodity, including your products or services incorporating the use of Trade Pros service in violation of the laws and regulations of any applicable jurisdiction. 25. FORCE MAJEURE: Neither party shall be deemed in default hereunder, nor shall it hold the other party responsible for any cessation, interruption or delay in the performance of its obligations hereunder due to earthquake, flood, fire, storm, natural disaster, act of God, war, terrorism, armed conflict, labor strike, lockout, or boycott, provided that the party relying upon this section shall give the other party notice upon discovery thereof and shall take all steps possible and/or reasonably necessary under the circumstances to mitigate the effects of the force majeure event upon which such notice is based; provided further, that in the event of a force majeure event described in this section extends for a period in excess of thirty (30) days in the aggregate, Trade Pros may immediately terminate this Agreement. 26. HEADINGS: The section headings appearing in this Agreement are inserted only as a matter of convenience and in no way define, limit, construe or describe the scope or extent of such section or in any way affect such section. 27. SURVIVAL: In the event this Agreement terminates as provided herein, this Agreement shall survive such expiration or termination. I accept the TradePros.net Service Agreement.
